Terms of Service

By accessing or using Celestial Connect (the "Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform.

You must be at least 21 years old and legally able to enter contracts to use the Platform. Access to cannabis products is gated by state and may require identity verification. By using the Platform you represent that you meet these requirements and that your use complies with applicable law.

Celestial Connect is a marketplace that connects buyers with independent, licensed sellers. We are not a party to sales between buyers and sellers, we do not take possession of cannabis products, and we do not control seller fulfillment. Each seller is an independent business responsible for its own products, licensing, taxes, labeling, packaging, and delivery logistics. We facilitate listings, payments, and certain compliance checks.

You are responsible for safeguarding your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current. We may suspend or terminate accounts that violate these Terms or applicable law.

Buyers may browse non-cannabis accessories and hemp goods nationally, and cannabis products only where legal in their state. You are responsible for confirming that any purchase is legal in your jurisdiction and for providing accurate shipping and tax information. Payments are processed by our payment provider; sales and excise taxes are collected and remitted by the seller under their state license. Cannabis sales and delivery may be restricted or prohibited in your area even where the Platform permits browsing.

To list cannabis, hemp, or accessory products, sellers must complete business verification (EIN or state license) and obtain admin approval. By listing products, a seller agrees to the following Seller Agreement summary:

• Licensing: Seller holds and maintains all required local, state, and federal licenses. As a condition of listing, Seller must provide a valid state cannabis/hemp license number and issuing state during onboarding, and must update this information if the license expires, is revoked, or changes. The Platform may display the license number on Seller's listings and may suspend listings where the license cannot be verified.
• Compliance: Seller is solely responsible for product compliance, labeling, packaging, testing, advertising rules, age-gating, and delivery in accordance with applicable law.
• Marketplace fee: Celestial Connect charges a 1% commission on completed sales, deducted from the seller payout.
• Payouts: Seller payouts are routed through Stripe Connect to the seller's connected account; payout timing and chargeback liability are governed by Stripe's terms and these Terms.
• Fulfillment: Seller manages all fulfillment, shipping, and customer service for its own orders. Celestial Connect does not warehouse or ship cannabis products.
• Taxes: Seller is solely responsible for collecting, remitting, and reporting all applicable sales, excise, and cannabis taxes under its state medical or business license. By acknowledging the tax obligation during onboarding, Seller confirms that Celestial Connect does not calculate, collect, or remit any tax on Seller's behalf, and that Seller will register with the relevant tax authority, charge the correct tax at point of sale, and remit it as required. Seller indemnifies the Platform for any tax, penalty, or interest arising from Seller's failure to collect or remit.
• Subscriptions and placement bids: Seller subscription tiers (Free/Pro/Enterprise) and non-cannabis placement bids are billed separately and are non-refundable except where required by law.
• Indemnity: Seller indemnifies Celestial Connect against claims arising from its products, listings, or non-compliance.

Checkout is handled by Stripe. Test mode may apply; live payments require providing your own Stripe keys in the dashboard. Card data is handled by Stripe, not stored by us. The Platform charges a 1% commission on the subtotal of completed transactions; sellers receive the remaining amount minus processor fees.

You agree not to: use the Platform if under 21 or where prohibited by law; sell or attempt to sell cannabis where not licensed or where the buyer's jurisdiction prohibits it; misrepresent licensure or identity; list unlawful, mislabeled, or untested products; circumvent geo-fencing or verification; abuse the rewards or referral programs; or infringe others' rights.

You retain ownership of content you submit (listings, forum posts, petitions, profiles) and grant Celestial Connect a worldwide, non-exclusive, royalty-free license to host, display, and operate on that content. You represent that you have the rights to submit it and that it complies with law and these Terms.

Participation in rewards and referral programs is subject to the program rules. Points have no cash value unless stated. We may modify, suspend, or terminate the programs, and may revoke points obtained through fraud or abuse.

The Platform and all listings are provided "as is" and "as available" without warranties of any kind. We do not guarantee that any product is legal, safe, effective, or accurately described. Cannabis products are not evaluated by the FDA; statements about products have not been evaluated by the FDA and are not intended to diagnose, treat, cure, or prevent any disease. Sellers' statements are their own.

To the maximum extent permitted by law, Celestial Connect and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss arising from transactions between buyers and sellers, seller non-compliance, product defects, delivery failures, or unlawful sales. Our aggregate liability is limited to the amounts you paid us through the Platform in the preceding twelve months.

You agree to indemnify and hold Celestial Connect harmless from claims, damages, and expenses arising from your use of the Platform, your content, your transactions, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the jurisdiction in which Celestial Connect is organized, without regard to conflict-of-laws principles. Disputes will be resolved through binding arbitration where permitted, and class actions are waived to the extent allowed by law. A specific governing-law state and arbitration venue should be inserted here before launch.

We may suspend or terminate access at any time for any reason, including violation of these Terms or applicable law. Sellers may close listings; buyers and sellers remain responsible for obligations incurred before termination.

We may revise these Terms from time to time. We will update the "Last updated" date and, for material changes, provide notice on the Platform. Continued use after changes constitutes acceptance.
